These Terms & Conditions ("Terms") govern your use of the Farm-Ledger website at farm-ledger.com and the Farm-Ledger farm bookkeeping and operations service (the "Service"). The Service is provided by Farm-Ledger, a sole proprietorship based in the United States ("Farm-Ledger", "we", "us"). By creating an account or continuing to use the Service, you agree to these Terms.
1. Who may use the Service
You must be at least 18 years old. If you use the Service on behalf of a business or farm entity, you represent that you have authority to bind that entity to these Terms.
2. The Service
Farm-Ledger provides web-based tools for farm bookkeeping, field and crop records, equipment maintenance, hay and livestock tracking, compliance registers, tax-oriented reporting, and related features. Features may be added, changed, or removed over time.
3. Accounts and credentials
You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at support@farm-ledger.com if you suspect unauthorized use. You agree to provide accurate information and keep it current.
4. Acceptable use
You must not:
- Use the Service for any unlawful purpose or in violation of applicable law.
- Send fraudulent, deceptive, or spam content through the Service.
- Infringe intellectual property or privacy rights of others.
- Introduce malware, probe or scan the Service, or interfere with its security or integrity.
- Scrape, reverse-engineer, resell, or redistribute the Service or its output except as expressly permitted.
- Circumvent usage limits, seat limits, or technical restrictions.
5. Your content
You retain ownership of the farm records and content you enter into the Service ("Your Content"). You grant Farm-Ledger a limited, worldwide, non-exclusive license to host, copy, transmit, back up, and display Your Content solely to operate and provide the Service to you.
6. Intellectual property
Farm-Ledger and its licensors own all rights in the Service, including the software, documentation, design, branding, and underlying technology. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your selected plan.
7. Fees, subscriptions, and Merchant of Record
Paid plans are described on our Pricing page. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refund mechanics are governed by the Paddle Buyer Terms. Subscriptions renew automatically at the end of each billing period unless cancelled.
8. Refunds
We offer a 30-day money-back guarantee as described in our Refund Policy.
9. Service availability
The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation and are not liable for temporary unavailability due to maintenance, upstream outages, or events beyond our reasonable control.
10. Warranty disclaimer
To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Farm-Ledger is a bookkeeping tool; it is not a substitute for advice from a licensed tax professional, attorney, agronomist, or veterinarian.
11. Limitation of liability
To the maximum extent permitted by law, Farm-Ledger's aggregate liability arising out of or relating to the Service is capped at the fees you paid to Paddle for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or crop yield.
12. Indemnification
You agree to indemnify and hold Farm-Ledger harmless from claims arising out of Your Content, your use of the Service in violation of these Terms, or your violation of applicable law.
13. Suspension and termination
We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated policy violations. You may cancel at any time via your organization settings or through Paddle. On termination, you may export your data for a reasonable period before it is deleted.
14. Changes to the Service or Terms
We may modify the Service or these Terms. Material changes will be announced in the Service or by email. Continued use after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of the State of Iowa, USA, without regard to conflict-of-laws principles. Exclusive venue for disputes lies with the state and federal courts located in Iowa, except where applicable consumer law requires otherwise.
16. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
17. Force majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, labor disputes, and upstream provider outages.
